The acquisition has been carried out by AdaniConneX (ACX), a 50:50 joint venture between the Adani Group and US-based data centre company EdgeConneX. ACX is responsible for building large-scale data centres across India.
How Did the Deal Happen?
On November 21, 2025, ACX signed a Share Purchase Agreement (SPA) with Trade Castle Tech Park Pvt Ltd (TCTPPL) and its existing shareholders Shree Naman Developers and Jayesh Shah. Under this agreement, ACX will purchase 100% of the company’s shares, making TCTPPL fully controlled by the Adani-EdgeConneX joint venture.
The total value of the deal is set at ₹231.34 crore, and the company has stated that the acquisition will be completed by November 25, 2025.
Why Was This Company Purchased?
According to AEL’s filing, the primary objective behind the acquisition is to build new infrastructure facilities. Although detailed plans were not disclosed, it is widely expected that ACX will likely use the asset for a data centre project.
TCTPPL was registered in October 2023 and has not yet begun any business operations. However, the company owns a significant land parcel and has all the necessary licenses required to begin infrastructure development. This gives ACX a strong advantage as it can start project construction without delays.
What Does AdaniConneX Do?
AdaniConneX is working on building a national 1-gigawatt data centre network across India. Over the next decade, the company aims to establish large-scale data centre hubs throughout the country.
Currently, ACX operates data centres in Chennai, Navi Mumbai, Noida, Pune, and Hyderabad. These centres support digital services, cloud computing, and large-scale IT systems through advanced, high-tech infrastructure.
Significance of the Deal
This acquisition will significantly strengthen the Adani Group’s data centre expansion plans. The biggest advantage is that TCTPPL already holds land and critical development licenses, allowing ACX to begin its new infrastructure project without delays.
